AN ACT TO AMEND TITLE 8 OF THE DELAWARE CODE RELATING TO CERTAIN FEES.

BE IT ENACTED BY THE GENERAL ASSEMBLY OF THE STATE OF DELAWARE:

 

Section 1. Amend Subsection (a), Section 391, Title 8 of the Delaware Code by striking paragraph (22), and substituting in lieu thereof the following:

"(22) In the case of nonstock corporations, corporations with registered agents acting pursuant to §132(a)(i) or (ii), and of religious, charitable or other nonprofit corporations organized under the laws of this State, the total fees payable to the Secretary of State upon a filing of a Certificate of Change of Registered Agent and/or Registered Office shall be $5.00."

SYNOPSIS

From time to time some small Delaware corporations are required, for various business reasons, to relocate (within the State). At present, when there has been a change of address and expiration of the forwarding order, the State requires each Delaware Corporation, regardless of size, to file a Certificate of Change of Location of Registered Office and Registered Agent. To file the Certificate, several fees are charged by the Division of Corporations, totaling approximately $75.00. Other corporations such as nonstock or charitable corporations, pay a minimal (five dollar) fee. This Act provides that certain small corporations (such as those which act as their own registered agents) shall also be eligible for the smaller "change of location" fee.
